These Terms of Service (“Terms”) govern your access to and use of the Services offered by
Three Leaf Clover Productions LLC (“Marmalaide,” “we,” “us,” “our”), including
subscriptions and QuickFix purchases. By accessing or using the Services, you agree to these
Terms.
1. Services
We provide creative production services and related deliverables, including video, edits,
variants, scripts, and other marketing assets. Some Services are sold as subscription plans;
others are sold as one-off QuickFix products.
2. Eligibility and accounts
You must be at least the age of majority in your jurisdiction to use the Services. You are
responsible for maintaining the confidentiality of your account credentials and for activities
under your account.
3. Orders, subscriptions, and payments
3.1 Subscriptions
Subscription fees, term lengths, and included deliverables/credits are described on our
website or order form. Unless otherwise stated in an order form:
- Subscription fees are billed in advance per billing period.
- Subscription services may include deliverable limits, credit limits, or usage thresholds.
- Unused deliverables/credits do not roll over unless explicitly stated.
3.2 QuickFix purchases
QuickFix products are one-off services with defined scope and turnaround targets.
Turnaround targets may be affected by incomplete inputs, delayed approvals, scope
changes, or technical constraints.
3.3 Taxes
Prices may be exclusive of applicable taxes unless otherwise stated.
3.4 Payment processing
Payments may be processed by third-party processors. You agree to provide accurate
billing information.
4. Billing
- Annual plans are billed on a 12-month commitment basis, with the full subscription term beginning on the date of sign-up.
- All annual plan subscribers receive a 30-day trial period from the date of activation, during which the plan may be cancelled without further obligation.
- If cancelled within the 30-day trial window, the subscriber will be charged only for the trial month at the monthly equivalent rate, and no further charges will apply.
- After the 30-day trial period, the annual commitment is confirmed and the remaining subscription term becomes non-cancellable and non-refundable.
- Early termination requests submitted after the 30-day trial window will not be eligible for refunds, partial or otherwise, for any unused portion of the subscription term.
- In the event of non-payment after the trial period, Marmalaide reserves the right to suspend service and pursue the outstanding balance for the remainder of the committed term.
- Subscribers may pause, upgrade, or change their plan tier during the committed term, subject to Marmalaide’s plan change policy, but may not downgrade to a month-to-month arrangement until the annual term expires.
- At the end of the 12-month term, the subscription will automatically renew for a further 12-month period unless a written cancellation notice is submitted at least 30 days prior to the renewal date.
5. Customer responsibilities
You agree to:
- Provide accurate information and necessary inputs (brand assets, product info, approvals,
usage requirements). - Ensure you have the rights to provide Customer Content (including music, footage,
trademarks, likeness rights, and any third-party materials). - Use deliverables in compliance with applicable laws, platform policies, and your internal
compliance processes.
6. Intellectual property
6.1 Your materials
You retain ownership of Customer Content you provide.
6.2 Deliverables
Upon full payment, you receive a worldwide, non-exclusive license to use the deliverables
we provide for your internal business and marketing purposes, including paid media, unless
an order form states otherwise.
6.3 Our tools and methods
We retain ownership of our pre-existing materials, templates, workflows, know-how, and
internal tools used to produce deliverables.
6.4 Feedback
If you provide suggestions or feedback, you grant us the right to use it without restriction
and without compensation.
7. Confidentiality
Each party may receive the other’s confidential information. You and Marmalaide agree to
protect it using reasonable care and use it only to perform under these Terms, except where
disclosure is required by law.
8. AI and generated content
You acknowledge that some deliverables may incorporate AI/ML-assisted generation or
transformation as part of production. We do not guarantee that outputs will be free from all
errors or similarity risks. You are responsible for final review and ensuring deliverables
meet your brand, legal, and platform requirements.
9. Prohibited use (Acceptable Use)
You may not use the Services to create or distribute unlawful, infringing, deceptive, harmful,
or abusive content, or to violate platform rules. See the Acceptable Use Policy, incorporated
by reference.
10. Third-party services
The Services may integrate or rely on third-party services. We are not responsible for third-
party services and they may have their own terms.
11. Disclaimers
The Services and deliverables are provided “as is” and “as available” to the maximum extent
permitted by law. We do not guarantee uninterrupted service or that deliverables will
produce particular business outcomes.
12. Limitation of liability
To the maximum extent permitted by law, Marmalaide will not be liable for indirect,
incidental, special, consequential, or punitive damages, or loss of profits, revenue, or data.
Our total liability for any claim will not exceed the amount you paid to Marmalaide for the
Services giving rise to the claim in the 3 months preceding the event.
13. Indemnification
You agree to indemnify and hold harmless Marmalaide from claims arising out of (a) your
Customer Content, (b) your use of the deliverables, (c) your breach of these Terms, or (d)
your violation of law or third-party rights.
14. Termination
We may suspend or terminate access if you violate these Terms, do not pay fees, or for
security/legal reasons. You may stop using the Services at any time. Subscription
cancellation and refunds are governed by your order form (if any) and our posted policies.
15. Governing law and disputes
These Terms are governed by the laws of the United States, without regard to conflict of
laws principles. Venue will be in a competent court in the United States unless otherwise
required.
16. Changes to Terms
We may update these Terms from time to time; continued use constitutes acceptance of the
updated Terms.
